South Africa’s Companies and Intellectual Property Commission (“CIPC”) has introduced a new requirement when lodging annual returns in the form of a Compliance Questionnaire. This form is a mandatory form, which must be completed by all companies, regardless of size or activity. This new requirement does not apply to close corporations and external branches.
The effective date for implementation of the compliance questionnaire is January 2020, and all companies must answer and lodge the questionnaire in the month that their annual return is due. The questions that CIPC requires you to answer every year are set out below.
We recognize that this could be problematic for those who do not understand Company Law, especially seen as it is an offence to knowingly provide false information to CIPC, which could carry a sanction of a fine, imprisonment not exceeding 12 months, or both.
